Terms of Service
Effective date: October 26, 2026
These Terms of Service ("Terms") are an agreement between Bantuvrse, LLC, doing business as Bantusign ("Bantusign", "we", "us"), and the organization on whose behalf an account is created ("Customer", "you"). They govern access to and use of the Bantusign email identity assurance service, including its website, administrator console, add-ins, integrations and APIs (together, the "Service"). By creating an account or using the Service you accept these Terms and represent that you have authority to bind Customer. If you do not, or you do not agree, do not use the Service. If Customer and Bantusign have signed an order form or other written agreement, that agreement governs to the extent it conflicts with these Terms.
1. The Service
Bantusign lets an organization deploy email signatures to its employees' mailboxes, verify that each mailbox carries the intended signature, and monitor for drift over time, across Microsoft 365 and Google Workspace. Depending on the plan, the Service includes: a signature editor and template gallery with render testing; directory sync from Microsoft 365, Google Workspace, BambooHR, Workday and ServiceNow, and CSV import; deployment through the Gmail API for Google Workspace, Exchange transport rules for Microsoft 365, and the Bantusign Outlook add-in and Gmail add-on; a coverage report with confirmed, inferred and uncovered mailboxes; drift detection and reconciliation; campaign banners with click and view reporting and A/B testing; single sign-on with SAML or OpenID Connect; an audit log; SCIM provisioning; delegated access for managed service providers; a read-only API and webhooks; and AI-assisted features. Which features apply to Customer depends on its plan, as described on our pricing page or in an order form.
The Service is administered centrally by the administrators Customer designates. Employees whose signatures are managed are not parties to these Terms; Customer is responsible for giving them any notice its own policies or the law require and for their use of any employee-facing features.
2. Accounts and Administrators
Customer must provide accurate registration information and keep it current. Administrators sign in with a one-time emailed link, with Microsoft or Google sign-in, or with the single sign-on (SAML or OpenID Connect) Customer configures, which Customer can require for everyone. Customer is responsible for all activity under its account, for keeping access limited to authorized people, and for telling us promptly at info@bantuvrse.com if it suspects unauthorized use. Customer represents that it has the right to connect every directory, mailbox and other system it links to the Service and to grant the permissions the Service requests.
3. Free Trial, Fees and Payment
Trial. New accounts start with a 14-day free trial of the plan chosen at sign-up. No payment card is required. When the trial ends, Customer must subscribe to a paid plan to keep using the Service; otherwise the account is suspended. Suspension does not delete Customer Data (Section 4).
Subscriptions. Paid plans are priced per user per month or per year, as shown at checkout, and billed in advance through our payment processor, Stripe. Subscriptions renew automatically for the same term unless canceled before the renewal date. The number of billed users is the number of active users in Customer's account (including users added by directory sync) or the number of seats Customer has purchased ahead of need, whichever is greater; the Service asks for confirmation before a sync would increase Customer's seat count.
Price changes. We may change prices with at least 30 days' notice to Customer's administrators; a change takes effect at Customer's next renewal after the notice period.
Taxes and refunds. Fees are in US dollars and exclude taxes, which Customer is responsible for unless we are required to collect them. Because every plan is preceded by a free trial, fees are non-refundable except where the law requires otherwise or an order form says so.
Non-payment. If a renewal payment fails, we notify Customer's administrators and our payment processor retries the charge on its own schedule. If the subscription ends, the account keeps working for 7 days after it ends and we remind Customer's administrators during that time. If Customer has not subscribed again by the end of those 7 days, we suspend the account until it does. While an account is suspended its data is kept and can be viewed, changes are blocked other than billing, and the Outlook add-in and Gmail add-on stop inserting signatures. Signatures already in mailboxes and any Exchange rule stay in place until Customer removes them (Section 4).
4. Term, Cancellation and Termination
These Terms apply for as long as Customer has an account. Customer may cancel its subscription at any time from Settings; cancellation takes effect at the end of the current billing period and Customer keeps access until then. Cancellation and suspension leave Customer Data in place until Customer requests its deletion from Settings, as described in our , which also explains the short period for which deleted data can remain in storage and backups. Ending or suspending an account does not remove signatures already placed in mailboxes or a transport rule already in Customer's Microsoft 365 tenant; Customer can remove them in Settings or by following the steps at . Disconnecting Exchange or Google, or deleting the account, switches off the Exchange rules or clears the Gmail signatures first unless Customer chooses otherwise.
We may suspend or terminate Customer's access if Customer materially breaches these Terms and does not cure the breach within 15 days of notice, immediately where necessary to prevent harm to the Service, other customers or third parties, or if we discontinue the Service on at least 90 days' notice, in which case we will refund any prepaid fees for the unused period. Customer may export its data from Settings at any time while its account exists, including while it is suspended, and for at least 30 days after cancellation or termination unless Customer has asked us to delete the account; once we have approved a request to delete the account, the account can no longer be used, so Customer should export its data first. After termination or cancellation we keep Customer's data as described in this Section and the (deleted data can remain in storage and backups for the short period described there).
5. Customer Data and Privacy
"Customer Data" means the data Customer or its users submit to or connect through the Service: directory data, mailbox signature settings and signature and campaign content, and, where Customer turns on Cloud signatures, the outgoing email routed through it. The Service routes Customer's email only where Customer turns on Cloud signatures, and then only the outgoing email Customer's routing rule selects. Customer owns Customer Data. Customer grants us the rights needed to host, process, transmit and display it solely to provide, secure and support the Service. We process Customer Data as Customer's processor on its documented instructions, as set out in our Privacy Policy and, where executed, our Data Processing Addendum, which is incorporated into these Terms once signed.
Customer is responsible for the lawfulness of Customer Data, for obtaining any consents and giving any notices required to connect its employees' data and mailboxes, and for the content it publishes in signatures and campaigns. Customer tenants are isolated from one another at the application and database layer, and Customer Data is not used by us to train AI models, and our AI provider does not use it to train its models. We do not make Customer Data available to other customers, except through access Customer itself grants, such as to a managed service provider or a parent organization.
6. Third-Party Services
The Service connects to third-party platforms Customer chooses to link (Microsoft 365, Google Workspace, BambooHR, Workday, ServiceNow, and, for the add-ins, Microsoft Outlook and Gmail) and relies on the sub-processors listed in our Privacy Policy and on our . Customer's use of a linked platform is governed by that platform's own terms, and Customer is responsible for maintaining the licenses and permissions the integration needs. We are not responsible for a linked platform's availability, or for changes to its APIs that affect a feature, though we will work in good faith to adapt the Service.
7. AI-Assisted Features
AI-assisted features draft campaign copy, taglines and template recommendations, review templates and render-test screenshots for compliance and visual problems, and answer product questions in the help assistant, using models provided by Anthropic. They are aids: output may be inaccurate or unsuitable, and Customer is responsible for reviewing anything it publishes or acts on. Data sent to these features is described in the Privacy Policy and is not used to train models. We may add, change or withdraw AI features as the underlying technology evolves.
8. Acceptable Use
Customer will not, and will not permit anyone to:
- use the Service to send unsolicited bulk email or otherwise violate anti-spam, data-protection or telecommunications laws;
- publish signature or campaign content that is unlawful, deceptive, defamatory, or infringes another person's intellectual property, privacy or publicity rights;
- access or attempt to access another customer's tenant, data or account, or probe, scan or test the Service's security without our written permission;
- reverse engineer, decompile or copy the Service, or use it to build a competing product;
- resell, sublicense or provide the Service to third parties except as a managed service provider using the delegated-access features we provide for that purpose;
- interfere with the Service's operation, exceed documented API limits, or introduce malicious code; or
- use the Service in connection with any high-risk activity where failure could lead to death, personal injury or severe environmental damage.
We may suspend access for a violation of this Section in accordance with Section 4.
9. Intellectual Property, Feedback and Publicity
We and our licensors own the Service, including its software, template library, documentation and branding. Except for the rights expressly granted in these Terms, no rights are granted to Customer. Customer retains all rights in Customer Data and its own trademarks. If Customer gives us feedback, we may use it without restriction or obligation. We may identify Customer by name and logo as a Bantusign customer only with Customer's prior written consent, which Customer may withdraw at any time.
10. Confidentiality
Each party will protect the other's confidential information (including Customer Data, and our non-public product information and pricing) with at least reasonable care, use it only to perform under these Terms, and not disclose it except to personnel and contractors who need it and are bound by comparable obligations, or as required by law with prompt notice where permitted. These obligations last for three years after termination, and indefinitely for Customer Data and trade secrets.
11. Warranties and Disclaimers
We warrant that the Service will perform materially as described in our documentation and that we will provide it with reasonable skill and care. Customer's sole remedy for breach of this warranty is for us to correct the non-conformity or, if we cannot, to refund prepaid fees for the affected period. Except as expressly stated, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that every mailbox will always be reachable through its provider's API, or that every email client will render a signature identically.
12. Limitation of Liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or business, however caused. Each party's total liability arising out of or relating to these Terms is limited to the fees Customer paid to us in the 12 months before the event giving rise to the claim. These limits do not apply to a party's indemnification obligations, breach of confidentiality, infringement or misappropriation of the other party's intellectual property, Customer's payment obligations, or liability that cannot be limited by law, including for gross negligence or willful misconduct.
13. Indemnification
Customer will defend and indemnify us against third-party claims arising from Customer Data, content Customer publishes through the Service, or Customer's use of the Service in breach of these Terms or the law. We will defend and indemnify Customer against third-party claims that the Service, as provided by us, infringes that party's intellectual property rights; if such a claim arises, we may modify or replace the Service, obtain a license, or terminate the affected Service and refund prepaid fees for the unused period. The indemnified party must give prompt notice, allow the indemnifying party to control the defense and settlement, and cooperate reasonably.
14. Beta and Preview Features
We may offer features labeled beta, preview or early access. They are provided for evaluation, may change or be withdrawn at any time, are excluded from the warranty in Section 11, and may be subject to additional terms we provide.
15. Changes to the Service and These Terms
We improve the Service continuously and may add, change or remove features, provided we do not materially reduce the core functionality Customer subscribed to during a paid term. We may update these Terms; for material changes we will notify Customer's administrators at least 30 days before they take effect, in the application or by email. Continued use after the effective date is acceptance. If Customer does not agree, it may cancel and we will refund prepaid fees for the unused period.
16. General
Governing law and venue. These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Disputes will be brought exclusively in the state or federal courts in Travis County, Texas, and each party consents to their jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Compliance. Each party will comply with applicable export control and sanctions laws, and Customer represents that it is not located in, or owned or controlled by a person in, a country or on a list subject to US sanctions.
Other terms. These Terms, with the Privacy Policy, any Data Processing Addendum and any order form, are the entire agreement about the Service and supersede prior agreements on the subject. If a provision is unenforceable, the rest remains in effect. A waiver must be in writing. Neither party may assign these Terms without the other's consent, except to a successor in a merger, acquisition or sale of substantially all of its assets, with notice. Neither party is liable for delay or failure caused by events beyond its reasonable control, other than payment obligations. Notices to us go to the address in Section 17; notices to Customer go to its administrators' email addresses on file. The parties are independent contractors.
